Ryan Morgan

Ryan Morgan is Co-Chair of Locke Lord's Real Estate and Real Estate Finance Practice Group. He represents clients in transactions involving the acquisition, development, operation, leasing, management and disposition of real property, including apartment communities, industrial properties, office buildings, shopping centers and mixed-use projects, together with related acquisition and construction financings, assumptions of debt and defeasance transactions. Ryan regularly represents administrative agents, lenders and borrowers in general commercial loan transactions, including acquisition financing and asset-based lending as well as participations and note purchase and sale transactions. A material portion of Ryan's practice is devoted to representing tenants and landlords in industrial, office and retail leasing matters.

Real Estate Acquisition, Development and Leasing

• Representation of a social impact investment fund in the acquisition, financing and sale of various workforce multifamily communities across numerous states, including Texas, Maryland and Florida
• Representation of global distributor in the energy and infrastructure space as outside real estate counsel, primarily focused on industrial and office leases for hundreds of U.S. locations as well as acquisitions, dispositions, construction contracts and other operational agreements
• Representation of large family office on various real estate development and investment matters, including development of a rail terminal and tank farm, investments in senior housing facilities, acquisitions of self-storage projects, ranch acquisitions and dispositions, acquisition of raw land for development, office leasing, and complex land use and easement agreements with respect to a mixed-use development
• Representation of private energy infrastructure company in negotiation of long-term ground lease of 300+ acres of waterfront property for development with the Port of Houston
• Representation of public institutional lender in the acquisition and ground lease of pad sites for development of new branch banks
• Representation of worldwide distribution company in negotiation of leases for over 500,000 square feet of warehouse space and 10-acre yard, together with a build-to-suit lease for new office building on an adjacent parcel, forming a new operational hub
• Representation of buyer in portfolio acquisition of nine ground leases and industrial buildings in El Paso, Texas
• Representation of energy services company in negotiation of affiliated build-to-suit leases for new corporate headquarters, including a 125,000 square foot office building and adjacent industrial lab facility

• Representation of institution lender in amendment and restatement of revolving credit facility and construction loan, as well as an additional term loan feature, for a packaging solutions company, together with related participation agreements with multiple other banks
• Representation of salt water disposal company in connection with $100,000,000 senior secured credit facility for operations and acquisitions
• Representation of institutional lender on financing for industrial waste business inclusive of revolving, term, delayed draw, real estate and construction facilities
• Representation of lender on $42,000,000 senior secured facility for a management buyout of an equipment rental company
• Representation of funeral home consolidation firm on acquisition line credit facility
• Representation of administrative agent in connection with $50,000,000 senior secured credit facility with line of credit, term loan and acquisition draw line

• Representation of borrower in connection with multi-advance real estate term loan for refinancing of various veterinary clinics
• Representation of institutional lender in cross-collateralized real estate term loans secured by multistate portfolios of single-tenant industrial facilities
