Tammy Ward Woffenden is Co-Chair of the Firm’s Health Care Practice Group. She focuses her practice on transactional and regulatory health law issues. She routinely works with clients on navigating complex state and federal laws, regulations and policy and advises clients on mergers and acquisitions in the health care industry.

Mergers and Acquisitions of Health Care Entities

Tammy has worked on both the transactional and regulatory sides of mergers and acquisitions involving a variety of health care providers, including individual hospitals and large hospital systems, pharmacies, home health agencies, hospice, assisted living facilities, intermediate care facilities, durable medical equipment suppliers, laboratories, mobile health units, therapy clinics and rehabilitation agencies, individual providers and group practices, and other businesses that transact business in the health care industry.

HIPAA/HITECH

Tammy advises covered entities (both providers and health plans), business associates and subcontractors on matters relating to the Health Information Portability and Accountability Act (HIPAA), Health Information Technology for Economic and Clinical Health (HITECH) Act and implementing regulations. She routinely works with clients on drafting and negotiating arrangements concerning the use and protection of health information, preparing training programs, developing privacy and security compliance and breach notification policies and procedures, and investigating and reporting data breaches. She also advises clients regarding state privacy and data security laws and other federal laws affecting privacy.

Medicare and Medicaid

Tammy advises clients on matters regarding Medicare and state Medicaid enrollment (including change of ownership), reimbursement, compliance, and audit investigation and appeals. She has also worked with clients on Medicaid managed care compliance and contracting matters as well as regulatory requirements relating to Medicare Advantage Plans.

Fraud and Abuse

Tammy advises clients on state and federal fraud and abuse laws, including the Anti-Kickback Act and Stark. From this perspective, she has assisted clients with developing compliance and training programs; investigating and analyzing reported incidents; and analyzing contractual arrangements, transactions, partnerships and joint venture arrangements.

State and Federal Licensing, Certification, and Permitting

Tammy advises clients regarding initial and licensure renewals, change of ownership and other updates affecting licensure status, responding to agency actions, such as licensure deficiencies and corrective action plans, and general compliance with licensure requirements. Tammy has handled licensure matters for a variety of health care providers, including individual hospitals and large hospital systems, pharmacies, home health agencies, hospice, assisted living facilities, intermediate care facilities, durable medical equipment suppliers, laboratories, mobile health units, therapy clinics and rehabilitation agencies, and individual providers and group practices. She also has experience with state and federal requirements regarding nurse practitioners, including state scope of practice and supervision.

Other State and Federal Regulatory Matters

Tammy advises clients on a variety of other state regulatory and administrative matters, including compliance with state corporate practice of medicine restrictions, fee-splitting and telemedicine laws. She has also advised clients regarding federal regulatory requirements and guidance issued by the Department of Health and Human Services (including the Centers for Medicare and Medicaid Services and Office for Civil Rights), Food and Drug Administration, Drug Enforcement Agency, Federal Trade Commission and Federal Communications Commission. She also advises on issues relating to implementation of the Affordable Care Act, including those relating to Accountable Care Organizations and other joint ventures between payors and providers.

Health Care Contracting

Tammy has worked with clients on various types of health care contracts, including service and vendor contracts, management services agreements and employment arrangements. She also has experience with managed care and TPA contracting matters.
