Houston Partners Greg Heath and Joe Perillo co-authored an article examining M&A trends expected in the wake of COVID-19. The authors note that M&A activity for Q2 is slowly grinding to a halt during the coronavirus pandemic, but when M&A activity picks up again, buyers and sellers should pay close attention to purchase price considerations, earnouts, seller notes, representation and warranty insurance and material adverse effect clauses.
