Henry D. Benton

Henry Benton's practice focuses on corporate law and oil, gas and energy law, including mergers and acquisitions, private equity transactions, upstream and midstream transactions and corporate governance. He has experience in representing private companies and private equity funds across several industries, including agriculture, real estate, hospitality, health care and oil and gas.

• Ag-Pro in its expansion to Greenville, South Carolina
• Riverbend Energy Group in its capital investment in Endurans Solar
• Breakwater Energy Partners in its stock-for-stock sale to Select Energy Services, a sustainable water and chemical solutions provider to the energy industry
• Tailwater Capital LLC on its definitive agreements to sell Align Midstream Partners II, LLC, to M6 Midstream LLC
• Ag-Pro, LLC, in the acquisition of Findlay Implement Company
• An undisclosed private buyer in an upstream asset acquisition for $50 million from an undisclosed seller
• Kosmos Energy in a crude oil prepayment agreement with Trafigura Trading LLC
• Ag-Pro, LLC, in the acquisition of more than 20 John Deere dealerships as well as several divestitures, including the sale of its 21 Texas locations to Tellus Equipment Solutions, LLC
• Caliber Completion Services in wireline asset acquisition from ClearWell Dynamics
• Merit Advisors, LLC, in its acquisition of Stancil Property Tax
• Comstock Resources in divestiture of Bakken Shale assets to Northern Oil & Gas, Inc.
• A private oil and gas company in issuance of US$150 million of notes through asset-backed securitization transaction
• A Texas-based oil and gas company in acquisition of operated oil and gas assets in the Marietta Basin in southern Oklahoma
• Comstock Resources, Inc., in its acquisition of Covey Park Energy LLC
• A Texas-based oil and gas company in purchase of Harvest Oil & Gas’ interests in the San Juan Basin
• Matador Resources Company and its midstream affiliate San Mateo Midstream, LLC, in long-term crude purchase contracts and crude transportation contracts with affiliates of Plains All American Pipeline, L.P.
• Merit Energy Company in MMGJ Hugoton III, LLC’s acquisition of 100 percent of the issued share capital of BHP Billiton Petroleum (Arkansas), Inc. and 100 percent of the membership interests in BHP Billiton Petroleum (Fayetteville) LLC from BHP Billiton Ltd. for $300 million
• An affiliate of Cox Oil in the completion of the merger between affiliates of Cox and Energy XXI Gulf Coast, Inc., along with the associated financing arrangements
• A client in purchase of offshore mineral interest through Chapter 11 proceedings
• A client in the sale of high-spec well service rigs to publically traded energy services company
• A private company in sale of core Delaware Basin minerals
• Matador Resources Company in a group of long-term natural gas, crude oil and produced water midstream contracts with San Mateo Midstream LLC involving Matador’s properties in the Delaware Basin
• A leading private investment firm with over $70 billion of assets under management and a number of its portfolio companies in connection with a broad array of commercial transactions
• A global hospitality and travel company in its sale of national restaurant chain
