David Wilhelm focuses his practice on corporate and transactional matters, with a specific emphasis on energy and infrastructure. He has vast experience in midstream deals as well as in negotiating commercial and M&A transaction agreements.

David returned to the Firm in 2022 after serving as Vice President, Business Development for Navitas Midstream Partners. He was also Assistant General Counsel for Kinder Morgan, and he served as an Associate at the Firm from 2006-2011.

REPRESENTATIVE EXPERIENCE

David’s experience negotiating commercial agreements includes the following:

  • Natural gas contracts, including gathering, processing, transportation, NAESB, purchase ‎and interconnect agreements
  • NGL fractionation, transportation, purchase and interconnect agreements
  • Condensate and crude oil gathering, transportation, blending, purchase and connection agreements
  • Master service agreements, construction agreements, professional service agreements, purchase orders, equipment leases and licenses
  • Real property agreements, including leases, access agreements, easements and right-of-way agreements

David’s representative M&A and other corporate transactions include:

  • Purchase and sale of various public and private oil and gas businesses, including those owning processing plants, gathering systems, transportation systems, gas storage businesses and oil field services assets
  • Joint ventures between operating companies for the development of crude oil pipeline systems, gas gathering and processing systems and transportation systems
  • Private equity investments in existing operators, joint ventures and new greenfield investments
  • Recapitalization transactions
  • Financing transactions, including project finance
  • Corporate governance matters
