Ziwen Zhu focuses her practice on U.S. and international corporate transactions, intellectual property law and commercial disputes resolution. She is a member of the Firm’s Board of Directors and Co-Chair of the Firm’s Diversity and Inclusion Committee.

Ziwen represents international companies, in particular manufacturers and startup companies, in establishing business operations in the United States, drafting and negotiating commercial contracts, conducting mergers and acquisitions, evaluating corporate structures and conducting corporate restructurings, evaluating and optimizing corporate governance.

In protecting companies’ intellectual property rights, Ziwen advises clients on screening and prosecuting U.S. and international trademarks, managing worldwide trademark portfolios and enforcing trademark rights, and applying for and enforcing copyrights.

  • A China-based company in connection with its proposed acquisition of a U.S. pharmaceutical company in the State of Massachusetts
  • U.S. wind energy companies in acquiring target companies in the State of Colorado and the State of Texas
  • A Hong Kong Stock Exchange-listed company in connection with its proposed acquisition of a U.S. lithium battery manufacturer
  • A multinational technology corporation in connection with its corporate restructuring in the United States
  • Chinese manufacturers in setting up their U.S. subsidiaries and operations in the states of North Carolina, Georgia, Texas, New Jersey, Indiana, Ohio and other states
  • A Chinese manufacturer in its greenfield investment in the State of Georgia with a total investment amount that exceeded $30 million
  • A public company listed on the NASDAQ in its going private transaction
  • U.S. subsidiaries of a Chinese heavy equipment manufacturer in structuring its stock and asset purchases in the United States

Intellectual Property Rights

  • Prosecuting and managing trademark portfolios for U.S.-based multinational companies in the United States, Canada, the European Union, the UK, China, Japan, Korea and the UAE
  • Counseling clients in trademark-related disputes, including oppositions, cancellations and appeals, through Trademark Trial and Appeal Board (TTAB) proceedings
  • Negotiating and drafting trademark license agreements
  • Negotiating and drafting trademark co-existence agreements
  • Counseling clients in selecting, clearing and registering trademarks

Government Investigations and Dispute Resolutions

  • Counseling clients through government investigations conducted by the Committee on Foreign investment in the United States (CFIUS), U.S. Department of the Treasury, in particular the Internal Revenue Service (IRS) and the Office of Foreign Assets Control (OFAC), Department of Commerce Office of Export Enforcement (OEE), U.S. Securities and Exchange Commission (SEC) and the Department of Justice (DOJ)
  • Counseling client with regard to contract disputes before the International Chamber of Commerce (ICC) and the American Arbitration Association
  • Counseling a Taiwanese corporation and its U.S. subsidiary in federal copyright infringement and trademark infringement matters
  • Counseling clients against claims for fraud or breach of contract involving renewable energy projects, construction disputes and lithium-ion battery manufacturers
  • Counseling clients in mediations and settlement discussions in trade secrets and commercial disputes

Before beginning her legal career, Ziwen was a program officer in the Embassy of Switzerland in China, where she managed cultural projects and coordinated diplomatic missions.
